Terms of Service

1. Acceptance of terms

By accessing or using Themis, you agree to be bound by these Terms of Service and the related Privacy Policy.

2. Service description

Themis provides a multi-tenant booking platform with a WhatsApp-integrated conversational agent, session and resource scheduling, membership management, and payment processing.

3. Accounts and security

  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You must notify us immediately of any unauthorised use.
  • We reserve the right to suspend accounts that violate these terms or applicable law.

4. Operator obligations

  • You must obtain valid consent from your end customers to send them WhatsApp messages, in accordance with WhatsApp Business Policy and applicable law.
  • You must operate within the WhatsApp Cloud API messaging windows and template approval rules.
  • You remain the data controller for your customers’ personal data; Themis acts as a processor on your behalf.

5. Acceptable use

  • Use Themis for unlawful, deceptive or harmful activity.
  • Spam, harass or send unsolicited bulk messages.
  • Reverse-engineer, scrape, or attempt to bypass rate limits.
  • Upload content that infringes third-party rights or violates export controls.

6. Fees and billing

Subscription fees are billed via Stripe in advance. Usage-based charges are billed at the end of each cycle. All fees are non-refundable except as required by law.

7. Third-party services

Themis integrates with Meta’s WhatsApp Cloud API, OpenAI, Stripe, Google Calendar and other third-party services. Your use of those services is subject to their own terms.

8. Intellectual property

Themis, its branding and the underlying software are owned by [LEGAL ENTITY]. You retain ownership of all content you upload.

9. Termination

Either party may terminate the agreement on [TERMINATION NOTICE PERIOD]. On termination, your data is retained for [RETENTION PERIOD] to allow export, then deleted in accordance with the Privacy Policy.

10. Warranties and liability

Themis is provided “as is”. Our aggregate liability is limited to the fees paid in the twelve months preceding the event giving rise to liability.

11. Governing law and disputes

These terms are governed by the laws of [JURISDICTION]. Any dispute will be resolved in the courts of [JURISDICTION].

12. Changes to these terms

We may update these terms from time to time. Material changes will be notified at least 30 days before they take effect.
